The agreement governing your use of the ThriveProp platform

1. Acceptance of Terms

These Terms of Use and End User License Agreement ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ThriveComp, Inc. ("ThriveProp," "we," "us," or "our"), governing your access to and use of the ThriveProp property management platform, including all web portals, mobile applications, and related services (collectively, the "Platform").

By creating an account, activating an invitation, or using any part of the Platform, you represent that:

ThriveProp is a vertical SaaS property management platform that facilitates communication, payments, document management, maintenance requests, and related services between property management companies and their tenants and vendors.

ThriveProp provides technology infrastructure. We are not a party to any rental agreement, lease, or tenancy relationship. Your property management company ("Property Manager") is solely responsible for the terms of your tenancy, lease obligations, and housing decisions.

ThriveProp is a technology platform, not a landlord or property manager. Disputes regarding your tenancy, lease terms, or housing conditions should be directed to your Property Manager.

3. Account Registration and Security

Access to the Platform is by invitation from your Property Manager. You are responsible for:

ACH Rent Payments

Rent payments processed through the Platform use ACH bank transfer via Forte Payment Systems. By enrolling in ACH payments, you:

ThriveProp does not store your full bank account number. Payment credentials are transmitted directly to Forte Payment Systems, a PCI-compliant payment processor. ThriveProp is not responsible for payment processing errors, bank fees, or delays caused by your financial institution.

AutoPay

If you enroll in AutoPay, you authorize recurring monthly debits on your lease payment due date. You may cancel AutoPay enrollment through the Platform at any time before your next payment cycle.

6. Background Checks

Background screening services are provided by Certn, a consumer reporting agency. By consenting to a background check through the Platform, you:

Background check fees, if any, are disclosed prior to initiation and are separate from rent payments.

7. Electronic Signatures and Documents

Lease agreements and other documents may be signed electronically through DocuSign. By using electronic signatures on the Platform:

Electronic signatures are governed by the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

8. Mobile Application (EULA)

If you access ThriveProp through our mobile application ("App") distributed via the Apple App Store or Google Play Store, additional terms apply:

License Grant

Subject to these Terms, ThriveProp grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control solely for your personal, non-commercial use in connection with your tenancy.

You may not:

Updates

ThriveProp may issue updates to the App. You agree to install updates in a timely manner. Older versions of the App may cease to function following updates.

Device Permissions

The App may request access to device features including camera (for document uploads), photo library (for inspection photos), and push notifications. You can manage these permissions in your device settings at any time.

9. Prohibited Conduct

You agree not to use the Platform to:

ThriveProp reserves the right to suspend or terminate accounts that engage in prohibited conduct.

10. Intellectual Property

The Platform — including software, design, logos, text, graphics, and all other content — is owned by ThriveComp, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

The ThriveProp name, logo, and "Orbitron" wordmark are trademarks of ThriveComp, Inc. You may not use our trademarks without prior written permission.

Content you submit to the Platform (such as maintenance photos or uploaded documents) remains your property. You grant ThriveProp a limited license to store and display that content as necessary to operate the Platform.

11. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THRIVEPROP DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THRIVEPROP DOES NOT WARRANT THAT:

THRIVEPROP IS NOT RESPONSIBLE FOR ANY ACTIONS OR DECISIONS MADE BY YOUR PROPERTY MANAGER BASED ON INFORMATION ACCESSIBLE THROUGH THE PLATFORM.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THRIVEPROP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THRIVEPROP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THRIVEPROP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not fully apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless ThriveProp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

15. Termination and Account Deletion

ThriveProp or your Property Manager may suspend or terminate your account if you violate these Terms or if your tenancy ends. You may request deletion of your account at any time.

How to Delete Your Account

Log in to the tenant portal → Profile tab → Account Settings → click "Request Account Deletion." Your request will be processed within 30 days. Certain data may be retained as required by law (see our Privacy Policy).

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

Informal Resolution

Before initiating any formal legal proceedings, you agree to contact us at legal@thrivecomp.com and attempt to resolve the dispute informally for at least 30 days.

Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:
